GENERAL CONDITIONS DE BOK ROIJERS GASSELING ADVOCATEN
- All instructions are accepted solely on the basis that Book 7 Articles 404 and 407 (2) of the Dutch Civil Code are excluded. Instructions are carried out by the Dutch partnership of De Bok Roijers Gasseling Advocaten, hereinafter referrd to as ‘De Bok Roijers Gasseling’).
- De Bok Roijers Gasseling is a partnership of private companies and /or natural persons. A list of the partners is available on request.
- All provisions contained in these general terms and conditions are made on behalf of the partners of De Bok Roijers Gasseling as well as the directors of the private companies referred to in Article 2 and all persons employed by the partnership.
- Any liability of De Bok Roijers Gasseling is limited to the amount paid out in the claim in question under the professional liability insurance of De Bok Roijers Gasseling, plus the amount of the excess that is not recoverable from the insurer under the policy. On request, De Bok Roijers Gasseling will supply details of the professional liability insurance and the amount covered under such policy.
- In sub-contracting with any third party, De Bok Roijers Gasseling will consult with the client as much as possible and act with all due skill and care in selecting such third party. De Bok Roijers Gasseling is not liable for any breaches of contract by a third party. De Bok Roijers Gasseling is authorised by the client to accept any limitations of liability of third parties on behalf of the client.
- The client indemnifies De Bok Roijers Gasseling against any third-party claim connected in any way with the work performed for the client.
- The legal relationship between the client and De Bok Roijers Gasseling is governed by Dutch law. Any dispute will in the first instance be brought exclusively before the Court of Rotterdam.
- Unless agreed otherwise, fees shall be calculated on the basis of the number of hours worked multiplied by such hourly rate as shall be determined by De Bok Roijers Gasseling at least on an annual basis.
- Disbursements paid by De Bok Roijers Gasseling on behalf of the client shall be invoiced separately. A percentage of the fee shall be charged to cover general office expenses, such as postage, telephone, fax and photocopying charges. All of the above prices are net of VAT.
- In principle, work will be invoiced to the client on a monthly basis. Invoices should be paid within 14 days as from the date of the invoice. If payment is not made in time, De Bok Roijers Gasseling is entitled to charge statutory interest on the outstanding sum.
- In the event of any discrepancy between the Dutch and English versions of these general terms and conditions, the Dutch version shall be binding.
